Role Overview & Key Responsibilities
The Associate Corporate Counsel will provide commercial legal support to the North American sales organization, driving business growth while effectively mitigating risk. Key responsibilities include:
- Contract Negotiation: Drafting, reviewing, and negotiating a wide range of commercial technology agreements, with a specific focus on cloud services, SaaS agreements, non-disclosure agreements (NDAs), statements of work (SOWs), and data processing agreements (DPAs).
- Regulatory Compliance: Navigating complex legal issues specific to the cloud computing industry, including data privacy, data security, and emerging artificial intelligence regulations.
- Cross-Functional Collaboration: Partnering with internal stakeholders across Sales, Finance, Security, and Product Counsel to align contracting processes with company risk management standards.
- Process Optimization: Contributing to the development of standard templates, playbooks, and best practices to streamline recurring commercial transactions.
Eligibility & Qualifications
To be considered for this role, candidates must meet the following criteria:
- Education: A law degree (JD or equivalent) from an accredited law school.
- Bar Admission: Active membership in good standing with any US State or Territory Bar, and the legal right to reside and work in the United States.
- Experience: 2+ years of relevant legal experience, preferably gained within an in-house corporate legal department.
- Skills: Strong contract drafting and negotiation skills, excellent conversational intelligence, and the ability to provide practical, business-oriented legal solutions under minimal supervision.
Compensation & Benefits

- Base Salary: $95,000.00 to $167,000.00 (dependent on experience, location, and qualifications), with potential eligibility for performance-based bonuses.
