Kingsbarn Realty Capital, a premier real estate, development, and investment firm, is seeking a highly motivated and skilled Associate Counsel to join its legal department in Las Vegas, NV. This is a full-time, in-office position designed for an experienced legal professional capable of navigating complex, regulated real estate investments, ensuring corporate compliance, and driving sustainable organizational growth.
Key Responsibilities
The Associate Counsel will play a pivotal role in supporting the legal operations of the firm's real estate and investment portfolios. Primary duties include:
- Drafting, reviewing, and negotiating a diverse array of contracts and agreements spanning real estate transactions, employment, corporate governance, litigation, and finance.
- Conducting thorough legal due diligence for potential acquisitions, joint ventures, and property dispositions.
- Collaborating cross-functionally with internal departments, including finance, asset management, development, and operations, to identify and mitigate legal risks.
- Supporting corporate governance by preparing board materials and managing corporate records.
- Managing litigation matters and coordinating with external counsel when necessary.
Eligibility & Qualifications
To be considered for this role, candidates must meet the following criteria:
- Education: Juris Doctor (JD) degree from an accredited law school.
- Experience: Minimum of 5 years of active legal practice, with a strong emphasis on real estate, corporate law, finance, and commercial litigation.
- Skills: Proven track record in transactional work and contract negotiations within the real estate and finance sectors. Deep understanding of real estate and securities laws, including regulatory compliance.
- Preferred Qualifications: Prior experience in an AM Law 200 firm or in-house legal department at a real estate or investment firm is highly desirable. Familiarity with securities law and private placements is a plus.
- Work Structure: Candidates must be available to work full-time in the Las Vegas office.
Compensation and Benefits
Kingsbarn Realty Capital offers a highly competitive compensation package:
- Base Salary: $150,000 to $200,000 per year (specifically $175,000 to $200,000 depending on experience).
