Salary Range: $190,000.00 - $210,000.00 per year (Base pay) + Annual Bonus Description:
Social Capital Resources is recruiting an Associate Counsel (Private Equity) for a full-time position at a Private Equity Firm based in Midtown, Manhattan. The role involves providing legal support and guidance on debt investments across the capital structure, assessing legal risks, and advising on transactional aspects of credit investments, financing arrangements, and fund structures. Key Responsibilities:

• Review, draft, and negotiate documents including credit agreements, confidentiality agreements, side letters, financing documents, and investment-related contracts.
• Coordinate with outside counsel on fund formation, financing, regulatory, and transactional matters.
• Advise on legal and transactional aspects of the firm’s credit investments, financing arrangements, and fund structures.

Eligibility Criteria:

• JD from an accredited law school and member of a state bar.
• 5+ years of experience in a law firm or corporate legal department environment on the finance side.
• Strong background in finance, credit, private funds, structured finance, or related areas.
• Experience with credit asset management, private credit, or special situations investing is preferred.
• Strong understanding of the legal and regulatory framework applicable to investment advisors and private funds.
