Partnering with a highly regarded boutique investment bank, this role offers an exceptional opportunity for a junior attorney to transition closer to core business operations, gaining direct exposure to transactions, senior leadership, and investment banking operations in a collaborative, high-performance environment.
Role Overview
Working directly alongside the General Counsel, the successful candidate will play a pivotal role in supporting deal execution and advising bankers and corporate functions across the firm. This position offers significant responsibility from day one and provides a clear, structured path toward a broader transactional legal career.
Key Responsibilities
The Associate Legal Counsel will be responsible for a wide range of transactional, commercial, and compliance matters, including:
- Contract Drafting & Negotiation: Drafting, reviewing, and negotiating engagement letters, Non-Disclosure Agreements (NDAs), access letters, and other deal-related documentation.
- Commercial Agreements: Reviewing and negotiating various commercial agreements, including vendor, consulting, licensing, and service contracts.
- Compliance & KYC: Supporting investment bankers through internal compliance, conflicts of interest resolution, and Know Your Customer (KYC) processes.
- Stakeholder Advisory: Working closely with senior stakeholders across the business to provide practical, commercial, and actionable legal guidance.
- Legal Innovation: Helping drive legal innovation initiatives, including the adoption of Artificial Intelligence (AI) and modern technology solutions across legal workflows.
Eligibility & Requirements
Candidates interested in this position should meet the following criteria:
- Experience: 3 to 4 years of corporate, M&A, or transactional legal experience (ideally suited for junior attorneys with 2 to 5 years of experience looking to transition in-house).
- Skills: Strong drafting and negotiation skills, coupled with exceptional attention to detail.
- Professional Attributes: Ability to operate independently, manage multiple priorities, and demonstrate strong commercial judgment with a pragmatic approach to problem-solving.
- Communication: The confidence and credibility to engage effectively with senior investment bankers in a fast-paced environment.
