Diversified, a global leader in audiovisual and media technology, is seeking a highly skilled and motivated professional for the position of Associate Legal Counsel - Commercial Contracts. This is a remote-based role designed to provide accurate, timely, and practical legal counsel to the company's sales and operations organizations. The selected candidate will handle complex commercial transactions, customer management, and a variety of legal issues in a fast-paced, dynamic environment.

Key Responsibilities

The Associate Legal Counsel will contribute to the organization through the following duties:

  • Contract Drafting & Negotiation: Draft, review, and negotiate domestic and international product and services agreements, vendor/dealer agreements, and strategic relationship agreements.
  • Advisory Services: Provide legal advice on intellectual property (IP) issues, data protection, privacy, and regulatory compliance.
  • Cross-Departmental Collaboration: Partner with sales, operations, purchasing, finance, and other internal departments to resolve subcontractor disputes, vendor issues, and support process improvement initiatives.
  • Compliance & Licensing: Execute and maintain the company’s business and contractor licenses, ensuring compliance and tracking renewals.
  • Operational Governance: Assist in developing and monitoring internal governance policies and authorities, and support collection efforts.

Eligibility & Qualifications

Candidates applying for this position must meet the following requirements:

  • Education: Juris Doctor (J.D.) degree from an accredited law school.
  • Bar Admission: Licensed to practice law and in good standing in one or more U.S. states.
  • Experience: Minimum of 5+ years of legal experience in a law firm or corporate in-house environment, with a strong focus on corporate law and commercial transactions.
  • Skills: Exceptional negotiation, communication, drafting, and analytical skills. Proven experience with common business software tools (Microsoft Office Suite).
  • Knowledge Base: Strong understanding of intellectual property, data protection, and privacy laws. Experience with international or governmental contracts is considered helpful.
