Duties and Responsibilities

The selected Corporate Associate will be responsible for the following key tasks:

  • Drafting and negotiating complex corporate documents for fund formations, M&A, venture financings, and joint ventures.
  • Advising clients on corporate governance, securities compliance, and transactional structuring.
  • Managing deal processes comprehensively from initial term sheets through to closing and post-closing matters.
  • Collaborating on cross-practice matters involving regulatory, tax, and real estate elements.

Eligibility Criteria

Candidates applying for this position should meet the following requirements:

  • Education: Juris Doctor (JD) degree from an accredited law school.
  • Bar Admission: Active bar admission in the United States (New York bar admission is highly preferred).
  • Experience: 3 to 7+ years of dedicated corporate transactional or private investment funds experience.
  • Skills: Strong drafting, negotiation, and communication skills, with the ability to manage complex transactions independently.

Compensation and Benefits

  • Base Salary: $225,000 to $275,000 per year (commensurate with skills and experience).
  • Bonuses: Performance-based bonuses.
