TotalSoft, a premier technology and software solutions provider, is inviting applications for the position of Commercial Legal Counsel based in Bucharest, Romania. This is a full-time, mid-level role designed for a legal professional who can provide practical, business-oriented legal support across a broad spectrum of commercial and technology-related matters. The successful candidate will work closely with internal stakeholders to identify legal risks, support business growth, and streamline corporate governance.
Key Responsibilities
As a Commercial Legal Counsel at TotalSoft, your core duties will include:
- Contract Management: Drafting, reviewing, and negotiating a diverse range of commercial agreements. This includes client-facing contracts such as Software-as-a-Service (SaaS) agreements, software licensing, and related service agreements, as well as partnership, distribution, and reseller contracts.
- Public Procurement: Supporting the business in public procurement processes, including drafting requests for clarifications and reviewing contractual documentation.
- Risk Mitigation: Identifying, assessing, and mitigating commercial risks, with a particular focus on liability, intellectual property (IP) protection, and regulatory compliance.
- Template Standardization: Contributing to the continuous improvement and standardization of the company's internal contract templates and legal processes.
- Cross-Functional Collaboration: Working closely with Sales, Business Development, and Finance teams to facilitate new business initiatives.
- Corporate Governance: Drafting documentation, resolutions, and approvals for General Meetings of Shareholders and the Board of Directors.
Eligibility & Requirements
To be considered for this role, candidates must meet the following criteria:
- Education: A university degree in Law.
- Experience: A minimum of 3 years of professional legal experience, gained either in-house within a corporate legal department or as an associate in a reputable law firm.
- Domain Knowledge: Broad legal knowledge with a strong understanding of commercial and corporate law. Familiarity with the EU AI Act is considered a distinct advantage.
- Language Skills: Professional fluency in English (both written and spoken) is mandatory.
- Key Competencies: Excellent analytical and problem-solving skills, high integrity, meticulous attention to detail, and the ability to translate complex legal concepts into clear, actionable advice for non-legal stakeholders.
