The Counsel – Equity Management is responsible for ensuring that all equity-related structures, transactions, and documentation comply with applicable securities laws and regulatory frameworks. The position operates in a fully remote environment, combining high-level legal advisory work with operational execution. The successful candidate will lead equity management matters, providing legal interpretation of equity agreements and LLC provisions while partnering cross-functionally with Finance, HR, and Payroll teams. Key responsibilities include overseeing compliance for incentive units and profits interests, managing SEC reporting obligations such as Form D filings, and supporting the legal aspects of M&A transactions, including due diligence and the integration of equity awards. Eligibility: * Juris Doctor (JD) degree from an accredited law school. * Active U.S. bar membership. * 4-8 years of legal experience specializing in securities law, corporate law, and equity compensation (in-house or law firm). * Comprehensive knowledge of the Securities Act of 1933, Securities Exchange Act of 1934, and related SEC rules. * Demonstrated experience drafting and negotiating equity plans, award agreements, and subscription documents. * Strong analytical skills and the ability to manage complex cross-functional initiatives.
