Opportunity Overview: General Counsel at Human Agency
Human Agency is seeking a highly skilled, entrepreneurial, and tech-forward General Counsel to lead its legal function end-to-end. Human Agency is an expanding architecture of companies encompassing a core AI consultancy, an investment fund, an operating company, and a diverse portfolio of startups, nonprofits, and political entities. This is a unique opportunity for a transactional lawyer who wants to move away from the billable-hour model to architect and own the legal infrastructure of a rapidly scaling enterprise.
Key Areas of Ownership
- Entity Architecture & Corporate Structure: Design and maintain a coherent legal structure spanning the consulting company, fund, operating company, portfolio companies, nonprofits, and political entities. Optimize for tax efficiency, liability containment, and operational clarity.
- Fund Formation & Investment Work: Structure and stand up the fund and related vehicles (GP, management company); draft and negotiate partnership agreements, subscription documents, and side letters; manage securities compliance.
- Transactions & Acquisitions: Lead the legal execution of acquisitions and roll-ups across a scaling portfolio, managing purchase agreements, diligence, and financing from start to close.
- Commercial Contracts & IP: Draft and negotiate MSAs, vendor contracts, and licensing terms while protecting the portfolio's intellectual property, including trademarks, trade secrets, and AI-generated work product.
- Governance & Compliance: Maintain corporate formalities and compliance across all entities, including tax-exempt requirements for nonprofits and campaign finance/lobbying rules for political entities.
- AI-Enabled Legal Operations: Actively integrate AI tools to execute legal work faster, build repeatable workflows, and advise on legal questions raised by AI products.
Eligibility & Candidate Profile
The ideal candidate must possess the following qualifications and traits:
- Experience: 4-6+ years of substantive corporate and transactional experience, with depth in fund formation, M&A, entity structuring, commercial contracts, and corporate governance.
- Jurisdictional Expertise: Deep fluency in Delaware law, with a solid working knowledge of New York, Massachusetts, and Missouri law.
- AI Fluency: Genuine, working fluency with AI tools and their active integration into daily legal practice.
- Sector Background: Experience in a startup, holding company, private equity, search fund, or roll-up environment. Experience in nonprofit governance or campaign finance law is highly valued.
- Mindset: A builder's mindset with the ability to operate with low oversight, high accountability, and clear communication skills suitable for advising the Founder and CEO directly.
Compensation, Logistics & Benefits
- Location: Fully remote within the United States (with occasional travel required for closings and key in-person meetings).
