Donyati, a premier business and technology consulting firm, is seeking a highly skilled and pragmatic General Counsel (Corporate Legal Counsel) to lead its legal operations. This is a full-time, fully remote position within the United States, designed for a business-oriented legal professional who can safeguard the company's interests while facilitating operational growth.
Key Responsibilities
The General Counsel will serve as the primary legal resource for the organization, partnering closely with Sales, Delivery, Operations, HR, and Executive Leadership. Primary duties include:
- Reviewing, drafting, and negotiating Master Services Agreements (MSAs), Statements of Work (SOWs), and Non-Disclosure Agreements (NDAs).
- Providing legal guidance on Data Processing Agreements (DPAs) and conducting vendor risk assessments in collaboration with the IT department.
- Reviewing and managing subcontractor, independent contractor, and vendor agreements.
- Identifying and mitigating legal, financial, and operational risks across all corporate contracts.
- Advising on employment-related matters and providing practical guidance to internal business stakeholders within tight turnaround times.
Eligibility & Qualifications
Candidates must meet the following rigorous professional standards to be considered for this role:
- Education: Juris Doctor (JD) degree from an accredited law school.
- Bar Admission: Active license to practice law in at least one U.S. jurisdiction.
- Experience: Minimum of 10+ years of experience in corporate or technology-focused legal practice.
- Core Competencies: Strong understanding of contract law, commercial terms, risk management, and corporate governance compliance. Excellent written and verbal communication skills are essential.
Preferred Skills
Preference will be given to candidates who possess:
- Experience supporting professional services, consulting, or technology organizations.
- Expertise in negotiating software, SaaS, licensing, and data processing agreements.
- Knowledge of global and domestic data privacy regulations, including GDPR and U.S. privacy laws.
- Familiarity with U.S. employment and HR law, including independent contractor classifications and workplace policies.
- Experience developing contract templates, legal playbooks, and managing outside counsel.
