Comprehensive Guide: General Counsel at Human Agency
Human Agency, a rapidly expanding ecosystem of companies spanning AI consultancy, investment funds, operating companies, and non-profit/political entities, is seeking a highly skilled and entrepreneurial General Counsel. This is a full-time, fully remote position based in the United States, offering a unique opportunity for a transactional lawyer to build, design, and own a comprehensive legal infrastructure from the ground up.
Key Responsibilities and Ownership
As the sole in-house legal authority, the General Counsel will manage the legal function end-to-end. Key areas of ownership include:
- Entity Architecture & Corporate Structure: Designing and maintaining a coherent legal structure across various business forms (consulting, funds, non-profits, and political entities) to optimize tax efficiency and liability containment.
- Fund Formation & Investment Work: Structuring and standing up the investment fund and related vehicles, drafting partnership agreements, and managing securities compliance.
- Transactions & Acquisitions: Leading the legal execution of acquisitions, roll-ups, and portfolio transactions from start to close.
- Commercial Contracts & Intellectual Property: Drafting and negotiating MSAs, licensing, and vendor agreements, while protecting the portfolio's IP (including AI-generated work product).
- AI-Enabled Legal Operations: Integrating advanced AI tools to accelerate workflows and advising the business on legal questions surrounding AI products.
Eligibility Criteria & Candidate Profile
The ideal candidate must possess a builder's mindset and meet the following requirements:
- Experience: 4 to 6+ years of substantive corporate and transactional legal experience.
- Jurisdictional Expertise: Deep fluency in Delaware law, with a solid working knowledge of New York, Massachusetts, and Missouri law.
- Specialized Knowledge: Experience in at least one of the following: fund formation and securities, nonprofit governance, political/campaign finance law, or litigation/dispute resolution.
- Technical Fluency: Genuine, working integration of AI tools into daily legal practice.
- Background: Prior experience in a startup, holding company, private equity, search fund, or roll-up environment.
Compensation, Benefits, and Logistics
This is a fully remote position within the United States.
