Human Agency is seeking a highly skilled and entrepreneurial General Counsel to design, build, and manage its rapidly expanding legal infrastructure. Operating as an architecture of multiple companies—including a core AI consultancy, an investment fund, an operating company, and a growing portfolio of commercial, nonprofit, and political entities—Human Agency presents a unique, high-complexity legal environment. This is a fully remote, US-based, full-time or contract-to-hire position designed for a transactional lawyer ready to move beyond the billable-hour model and own a legal function end-to-end.
Key Responsibilities and Ownership
As the sole in-house legal authority, the General Counsel will work directly with the Founder and CEO to influence business strategy and build legal frameworks from scratch. Primary areas of ownership include:
- Entity Architecture & Corporate Structure: Designing and maintaining a coherent legal structure across consulting, fund, operating, nonprofit, and political entities to optimize for tax efficiency, liability containment, and operational clarity.
- Fund Formation & Investment Work: Structuring and standing up the investment fund and related vehicles, drafting partnership agreements, and managing securities compliance.
- Transactions & Acquisitions: Leading the legal execution of acquisitions and roll-ups across a rapidly scaling portfolio, from diligence to close.
- Commercial Contracts & IP: Drafting and negotiating MSAs, vendor agreements, and licensing terms while protecting the portfolio's intellectual property, including AI-generated work product.
- AI-Enabled Legal Operations: Integrating advanced AI tools to accelerate workflows and advising the business on legal questions surrounding AI products and services.
Eligibility & Requirements
Candidates must possess a builder's mindset and meet the following criteria:
- Experience: 4-6+ years of substantive corporate and transactional experience, with depth in fund formation, M&A, entity structuring, and corporate governance.
- Jurisdictional Knowledge: Deep fluency in Delaware law, with a solid working knowledge of New York, Massachusetts, and Missouri law.
- Technical Fluency: Genuine, active integration of AI tools into daily legal practice.
- Sector Exposure: Background in a startup, holding company, private equity, search fund, or roll-up environment. Experience in nonprofit governance or campaign finance law is highly valued.
- Execution: A proven track record of owning legal matters from strategy through drafting and filing without relying on support staff.
Compensation and Logistics
