Description: Woven Capital, Toyota's growth-stage venture capital arm managing $1.6 billion, is seeking a highly experienced and strategically minded Head of Legal. The selected candidate will act as a strategic thought partner for the leadership team, assuming responsibility for investment execution, commercial negotiations, corporate governance, compliance, and risk management, while managing outside counsel relationships.
Key Responsibilities:

• Lead legal aspects of venture investments, including due diligence, term sheets, equity financing, and shareholder agreements.
• Negotiate complex commercial agreements and advise on risk, enforceability, and global contracting standards.
• Oversee corporate policies, board matters, and compliance with securities laws, antitrust, FCPA, and data privacy regulations.
• Manage the legal budget and external counsel relationships.

Remuneration & Benefits: Base salary of $250,000 to $300,000 per year (for positions based in Palo Alto, CA; Brooklyn, NY; and Seattle, WA; dependent on skills, experience, and location).
