In-House Counsel Opportunity at G2 Legal (Bristol, UK)

G2 Legal is recruiting for an In-House Counsel position on behalf of a global software investment and operating group. This hybrid role is based in Bristol, England, and offers an exceptional opportunity for a mid-level corporate lawyer (Associate to Senior Associate) to transition into a dynamic in-house legal environment.

The successful candidate will join a growing international legal team supporting a portfolio of software businesses operating within the mining and asset management sectors. Reporting directly to the General Counsel, you will work closely with senior stakeholders across multiple jurisdictions, gaining significant exposure to high-value M&A transactions and strategic growth initiatives.

Key Responsibilities

  • M&A Transactions: Support and progressively lead M&A transactions, including legal due diligence, transaction structuring, drafting and negotiating acquisition documentation, and managing deal execution processes.
  • Commercial Agreements: Draft, review, and negotiate a wide array of commercial contracts, including NDAs, software license agreements, SaaS agreements, supplier contracts, and reseller/distribution agreements.
  • Stakeholder Advisory: Provide practical, business-focused legal advice to senior business stakeholders on commercial and operational matters.
  • Governance & Compliance: Support corporate governance and legal entity management across multiple jurisdictions, and assist in developing and maintaining corporate compliance policies.
  • External Relations: Manage relationships with external legal advisers and coordinate specialist legal support when necessary.

Eligibility & Experience Requirements

To be considered for this role, candidates must meet the following criteria:

  • Professional Qualification: Must be a Qualified Solicitor admitted to the Solicitors Regulation Authority (SRA).
  • Experience: A minimum of 4 years' Post-Qualified Experience (PQE) gained either in private practice or in-house.
  • M&A Expertise: Demonstrable experience advising on M&A transactions is essential.
  • Skills: Excellent drafting, negotiation, and communication skills, combined with strong commercial awareness.

Desirable Qualifications: Experience negotiating technology, software licensing, and SaaS-related agreements; understanding of intellectual property law; and prior experience working with international businesses in the software, technology, mining, energy, or asset management sectors.

Compensation and Benefits

  • Salary Range: £110,000.00 to £140,000.00 per year (dependent on skills and experience).
  • Work Structure: Hybrid working arrangement based in Bristol, with occasional international travel required for training, acquisitions, and key business meetings.
