About the Opportunity

FairSquare, a respected national commercial small business lending company with a 25-year history and over $6 billion in funded transactions, is seeking an experienced In-House Counsel for Transaction / Compliance. This full-time, hybrid role is available in either their Atlanta, Georgia (Cumberland/Galleria Area) or San Diego, California (La Jolla Area) offices. Reporting directly to the Chief Legal Officer, the successful candidate will guide business units through commercial transactions and support the regulatory and compliance team in administering the company's Compliance Management System.

Key Responsibilities

Commercial Transactions

  • Draft, review, and negotiate commercial agreements related to small business financing, referral partners, brokers, marketing, and IT software contracting.
  • Advise business teams on risk analysis, transaction structuring, and deal closures.
  • Manage the existing vendor management system, including onboarding, annual auditing, and risk assessments.
  • Maintain and update contract templates and playbooks while managing the complete contract lifecycle.

Regulatory & Compliance Affairs

  • Assist in managing the compliance management system to ensure adherence to federal, state, and agency regulations.
  • Develop and implement internal controls to mitigate operational and legal risks.
  • Prepare compliance reports, quarterly meeting materials, and updates for state regulators.
  • Support regulatory examinations, audits, and third-party diligence requests.

Eligibility Criteria

Candidates applying for this position must meet the following requirements:

  • Education: Juris Doctor (JD) degree from an accredited law school.
  • Experience: A minimum of 6 years of professional legal experience within a law firm, government regulatory agency, or in-house corporate legal department.
  • Skills: Exceptional drafting, negotiation, and analytical skills. Ability to work independently in a fast-paced environment.
  • Preferred Knowledge: Familiarity with commercial business loans, merchant cash advances, or credit card products. Working knowledge of financial regulations such as BSA/AML, CCPA, FCRA, TCPA, or UDAAP is highly advantageous.

Compensation and Benefits

FairSquare offers a highly competitive compensation package, including:

  • Annual salary range of $165,000 to $210,000 (Exempt).
