Eligibility
Candidates must have independently drafted and negotiated across the investment document stack (term sheets through closing) in private equity, venture capital, or corporate finance. They must have structured or closed deals through SPV and fund vehicles, including pre-IPO secondary transactions. Working knowledge of US securities law (private placement exemptions, investor eligibility, transfer restrictions) is required. Fluency in Mandarin and English is mandatory. Hong Kong securities or SFC familiarity, experience in crypto, digital assets, fintech, or technology-driven businesses, and exposure to token, SAFT, or tokenized-equity structures are preferred.

Gate, a leading global cryptocurrency trading platform ranked among the Top 5 worldwide in trading volume and user base, is seeking a Senior Legal Counsel based in Hong Kong SAR. This full-time, mid-senior level position offers an opportunity to work on high-impact legal execution for venture investments, pre-IPO secondaries, and strategic transactions.
Key Responsibilities
- Lead legal execution on primary venture investments, pre-IPO secondaries, and strategic transactions — structuring, risk assessment, negotiation, and closing
- Draft and negotiate the full transaction stack: term sheets, subscription and purchase agreements, LPAs, side letters, SAFEs, convertibles, investor-rights agreements, and SPV/feeder documentation
- Spot securities issues across deals — private placement exemptions, investor eligibility, transfer restrictions, governance terms — and instruct external counsel where specialist input is needed
- Verify chain of title and underlying asset transfer on secondary and SPV-layered deals as a threshold diligence step
- Flag legal, regulatory, and commercial risk clearly to business teams and recommend practical paths to execution
- Coordinate internal stakeholders and external counsel across jurisdictions, owning execution from kickoff to signing
Qualifications
- Has independently drafted and negotiated across the investment document stack — term sheets through closing — in private equity, venture capital, or corporate finance
- Has structured or closed deals through SPV and fund vehicles, including pre-IPO secondary transactions
- Working knowledge of US securities law: private placement exemptions, investor eligibility, and transfer restrictions
- Fluent Mandarin and English — able to run deal execution with internal stakeholders and external counsel in both languages
