Description: Metabit is seeking a Legal Counsel to manage fund formation and structuring, investor documentation, corporate and commercial contracting, entity management, and regulatory-adjacent legal support. The candidate will provide pragmatic, commercially grounded legal advice to investment, operations, and management teams.
Key Responsibilities:
- Lead the drafting, review, and negotiation of fund establishment and constitutive documents, with a focus on Singapore Variable Capital Companies (VCCs).
- Prepare and negotiate subscription agreements, side letters, and investor onboarding documentation.
- Draft, review, and negotiate vendor, service, technology, and commercial agreements.
- Support entity governance, incorporation, and employment matters across jurisdictions.
- Manage external counsel and coordinate with the Compliance function on regulatory requirements.
