The successful candidate will draft and negotiate key financial agreements, support corporate restructuring and subsidiary management, and collaborate closely with Treasury, Financial Services, and Financial Markets teams to identify and mitigate legal risks.
Key Responsibilities:
- Review, draft, and negotiate general banking and structured trade finance documentation (including loan agreements, parental guarantees, letter of credit agreements, and receivables purchase agreements).
- Provide legal advice on corporate governance, subsidiary management, and support board and committee meetings.
- Collaborate with internal business functions to manage legal risks and support commercial objectives.
- Manage external counsel and associated expenses.
- Assist the global Corporate Secretary with regulatory filings and administration of Bunge entities.
- Experience with LMA/APLMA format loan documentation, BAFT documentation, and cross-border finance transactions.
- Understanding of banking and trade finance issues such as assignment, novation, true sale, and letters of credit (UCP 600).
- Experience drafting and negotiating ISDA and derivative documentation is highly desired.
- Strong English drafting skills and willingness to leverage AI tools to enhance productivity.
