Tri-Cap Consulting Pte. Ltd. is actively recruiting an experienced and strategic in-house Legal Counsel (Private Equity Real Estate - PERE) on behalf of an expanding Asia Pacific Real Estate Fund. Based in Singapore, this is a full-time, mid-to-senior level position reporting directly to the Chief Operating Officer (COO). The role offers an exceptional opportunity for a seasoned legal professional to manage complex transactions, mitigate legal risks, and drive asset management strategies across the APAC region.
Key Responsibilities
The appointed Legal Counsel will serve as a key strategic advisor and will be responsible for the following core areas:
- Investment Transaction Execution: Independently leading and executing real estate acquisitions, disposals, joint ventures (JVs), and platform investments from the initial term sheet phase through to final closing.
- Legal Structuring & Due Diligence: Advising on optimal transaction structures and conducting comprehensive legal due diligence.
- Contract Negotiation: Drafting, reviewing, and negotiating complex purchase agreements, shareholders' agreements, financing documents, and management contracts.
- Asset Management Support: Providing ongoing legal support for portfolio companies, including corporate restructuring, leasing, financing, and refinancing activities.
- External Counsel Management: Coordinating and managing external legal firms across multiple jurisdictions to ensure cost-effective and timely transaction execution.
- Compliance & Governance: Ensuring strict compliance with local regulations, fund documentation, and internal policies in collaboration with compliance teams.
Eligibility & Qualifications
Candidates applying for this position must meet the following criteria:
- Post-Qualification Experience (PQE): Generally, 8 to 10+ years of experience in commercial law, with a strong specialization in Private Equity (PE) or Mergers & Acquisitions (M&A) practices.
- Professional Background: Prior training at a reputable law firm is required. In-house experience at a private equity firm or real assets platform is highly advantageous.
- Sector Expertise: Robust exposure to real assets, infrastructure, or private equity transactions, particularly within the Asia-Pacific (APAC) region.
- Technical Skills: Deep, demonstrable knowledge of real estate finance, joint ventures, and corporate governance frameworks.
