About the Practice Group

The Technology Transactions and Licensing Group at WilmerHale collaborates closely with the firm's corporate, intellectual property, regulatory, and tax departments. The team handles hundreds of complex joint ventures, strategic alliances, outsourcing, and licensing transactions annually. Many of these deals span international borders and frequently receive industry commendation for shaping the future of science and technology.

Key Responsibilities

The successful candidate will be responsible for:

  • Structuring, drafting, and negotiating complex intellectual property (IP) and commercial agreements, including licensing, collaboration, distribution, SaaS/Cloud, services, and development agreements.
  • Advising clients in the life sciences and related industries on IP rights and technology transaction matters.
  • Providing critical legal counsel on IP and transactional aspects of life sciences mergers and acquisitions (M&A).
  • Collaborating effectively with multidisciplinary teams across various WilmerHale offices.

Eligibility & Qualifications

Candidates must meet the following criteria to be considered for this position:

  • Education: Juris Doctor (JD) degree from an accredited law school.
  • Bar Admission: Must be licensed to practice law and a member in good standing of the Massachusetts State Bar (or the jurisdiction where the position is based).
  • Experience: Five (5) to seven (7) years of specialized experience in structuring, drafting, and negotiating IP licensing and complex commercial agreements specifically for life sciences companies.
  • Skills: Exceptional drafting and analytical skills, with a demonstrated ability to thrive in a highly collaborative, fast-paced team environment.
  • Preferred Credentials: A background in life sciences legal practice, or an academic degree/training in life sciences or medicine, is highly preferred.
