Nomura, a leading global financial services group, is inviting applications for the position of Loans Legal Counsel at the corporate title of Vice President. Based in Singapore, this mid-level role within the Asia ex-Japan Legal department offers an exceptional opportunity for legal professionals to provide comprehensive legal support to key business units, including the Securitized Products and Private Credit (SPPC) team, the Acquisition & Leveraged Finance (ALF) team, and the Equity Solutions (EQS) team within Nomura Asia.

Key Responsibilities

The successful candidate will work collaboratively within a team of legal specialists and corporate functions. Key duties include:

  • Providing legal support to the SPPC, ALF, and EQS teams on legal, regulatory, and reputational risk aspects of their businesses.
  • Analyzing complex legal issues and seeking strategic alternatives to mitigate risk through appropriate legal documentation and transaction structuring.
  • Drafting, reviewing, and negotiating a wide variety of legal documentation for the origination, closing, and sell-down of financial risk.
  • Collaborating with internal compliance, risk, and corporate teams to escalate critical risks to senior management.
  • Participating in internal committees and discussions regarding specific transactions, new products, and structures.
  • Supervising external legal counsel and managing quality and cost control.

Eligibility Criteria

Candidates applying for this position must meet the following requirements:

  • Experience: Minimum of 4 years of Post Qualification Experience (PQE).
  • Domain Expertise: Proven transactional experience in lending transactions, including private credit, acquisition financing, margin financing, Pre-IPO financing, warehouse financing, receivables financing, real estate financing, structured lending, and cross-border transactions.
  • Documentation Skills: Demonstrated experience handling bilateral and syndicated lending documentation, specifically in APLMA/LMA formats.
  • Core Skills: Strong contract review and drafting skills, clear communication abilities, and the capacity to work both independently and collaboratively.
