The successful candidate will be responsible for overseeing corporate restructurings, managing subsidiaries, and supporting board and committee meetings. This role requires a high degree of collaboration with the board of directors and senior leadership to ensure effective corporate governance practices and compliance with global regulations. A significant portion of the role involves advising on proposed finance transactions, including the drafting and negotiation of parental guarantees, loans, bank facility agreements, and NDAs. The counsel will work closely with Treasury and Governance functions to identify and mitigate legal risks while supporting the achievement of commercial objectives. Additionally, the position involves managing external counsel, maintaining standard contractual templates, and assisting the global Corporate Secretary with various legal and regulatory filings. Eligibility: * Law qualification under English, Continental Europe, or New York law. * At least 3-4 years of experience in corporate finance transactions and corporate governance. * Professional experience gained from a major law firm, financial institution, or corporate setting. * Proven expertise in structuring, drafting, and negotiating legal documentation for finance transactions (e.g., bank guarantees, credit facility agreements). * Experience in drafting and negotiating ISDA and other derivative documentation is desired. * Fluency in written and spoken English with strong drafting skills.
