Michael Page, a globally recognized leader in professional recruitment, is seeking a highly qualified legal professional for the position of VP, Legal Counsel on behalf of a premier investment bank client based in New York, NY. This role offers an exceptional transition opportunity for a senior Big Law Associate looking to move in-house and gain comprehensive exposure within the financial services sector. The position operates on a hybrid work schedule, requiring three days in the New York City office per week.
Key Responsibilities
The successful candidate will provide critical legal support across various business units. Primary duties include:
- Providing legal counsel on mergers and acquisitions (M&A), structured notes, structured cash, derivatives products, and Fixed Income business lines.
- Analyzing and drafting M&A-related materials, including asset purchase agreements, non-disclosure agreements (NDAs), and commitment letters.
- Advising on deal-contingent hedges, related swaps, and securities laws-related matters.
- Reviewing credit agreements and transaction documents concerning complex project financing transactions.
- Managing outside counsel across multiple jurisdictions to assess the probability of successful debt financing and acquisition closings.
- Providing dedicated legal coverage to existing structured note programs.
Eligibility & Requirements
Candidates must meet the following professional and academic standards to be considered for this competitive role:
- Education: A Juris Doctor (JD) degree from a top-tier US law school with excellent academic credentials.
- Bar Admission: Active admission to the New York State Bar.
- Experience: A minimum of three (3) years of practice at a top AmLaw 100 firm, with direct exposure to banking and finance, structured finance, project finance, and/or securities regulatory matters.
- Skills: A strong willingness to learn new financial products, adapt to diverse practice areas, and work collaboratively as a team player.
Compensation and Benefits
The position offers a highly competitive compensation package, which includes:
- Base Salary: $250,000.00 to $265,000.00 per year (final pay is determined by skills and experience).
