ANAND AND ANAND is seeking an experienced Senior Corporate Lawyer to join their Corporate & Commercial practice based in Noida, Uttar Pradesh. The role involves managing sophisticated transactions, advisory mandates, client interactions, and complex corporate-commercial matters in a fast-paced Tier 1 law firm environment.

Key Eligibility Criteria

• Educational Qualification: LL.B. from a recognized institution (candidates from Tier 1 law schools preferred).
• Experience: Minimum 8 years of post-qualification relevant experience with a reputed law firm.
• Core Expertise: Strong background in Mergers & Acquisitions, Insolvency & Bankruptcy, Debt Recovery, Licensing & Commercial Contracts, alongside SLA drafting and negotiations.
• Skills: Exceptional drafting, analytical, negotiation, and communication skills with strong client relationship management capabilities.

Responsibilities & Scope of Work

• Advise clients on Mergers & Acquisitions, corporate restructuring, strategic investments, and transactional mandates.
• Conduct legal due diligence and structure, negotiate, and close domestic and cross-border transactions.
• Handle insolvency, restructuring, bankruptcy, and debt recovery proceedings and strategic advisory.
• Draft, review, negotiate, and finalize high-value commercial documentation including Service Agreements, SLAs, Technology Agreements, NDAs, and vendor contracts.
• Independently manage client relationships, attend client meetings, and coordinate with regulatory authorities and external stakeholders.
• Provide pre-litigation and dispute advisory support arising from commercial and contractual matters.
