Role Overview
A leading consumer retail organization is seeking a senior legal and secretarial professional to lead its Legal, Compliance, and Corporate Secretarial functions. This leadership role involves managing board governance, statutory compliance, contract lifecycle management, and litigation across the organization's offline and online retail operations.
Key Eligibility Criteria
- Qualification: Qualified Company Secretary (ICSI) is mandatory. A Law degree (LLB) is strongly preferred.
- Experience: 15–20 years of relevant experience in legal, compliance, and secretarial roles.
- Industry Preference: Prior experience in retail, fashion, FMCG, e-commerce, or real estate-heavy businesses.
- Competencies: Expertise in board governance, retail leasing, franchise agreements, and stakeholder management at the CXO/Promoter level.
Responsibilities & Scope of Work
- Oversee corporate secretarial compliance under the Companies Act, 2013, including board and shareholder meetings.
- Draft, review, and negotiate complex commercial contracts, including franchise and lease agreements.
- Manage litigation strategy and coordinate with external counsel.
- Lead organization-wide compliance frameworks, including data privacy, IP, and labour laws.
- Provide strategic legal advisory to the Board and senior management.
