Contextual Overview

ISS STOXX is seeking an experienced and highly qualified Corporate Counsel to join its dynamic Legal team in the Mumbai Metropolitan Region. The role involves providing comprehensive legal services, drafting and negotiating complex commercial agreements, and supporting compliance and corporate governance matters for the global business.

Key Eligibility Criteria

• LL.B. or J.D. degree from a top-tier law school with an excellent academic record.
• Member in good standing of the Bar in the relevant jurisdiction.
• Minimum of 5 years of relevant experience at a top law firm and/or as in-house counsel handling corporate and commercial matters for multinational firms.
• Demonstrated ability to review, analyze, draft, and negotiate complex commercial agreements and license agreements.

Responsibilities & Scope of Work

• Provide legal support to the global sales team on outbound sales agreements encompassing products and services such as proxy research, corporate governance ratings, sustainability solutions, and asset management intelligence.
• Structure, draft, review, analyze, and negotiate complex services agreements, data and software licenses, procurement and supply agreements, and nondisclosure agreements.
• Assist with modifications and updates to template agreements.
• Support regulatory compliance matters including corporate, securities, and data privacy requirements.
• Assist with corporate governance matters for the parent entity and its subsidiaries.
