Senior Manager - Legal & Compliance

Contextual Overview

Masai is seeking a dynamic and detail-oriented Senior Manager - Legal & Compliance to join their team in Bengaluru South, Karnataka. The ideal candidate will handle corporate law, compliance, contract management, risk mitigation, and support IPO readiness and corporate governance initiatives.

Key Eligibility Criteria

• Bachelor's or Master's degree in Law (LLB/LLM).
• 5–8 years of experience in corporate legal roles, preferably in a startup, technology, or fast-paced environment.
• Strong knowledge of contract law, corporate governance, compliance, and risk management.
• Exposure to IPO readiness, legal due diligence, fundraising, or public-market compliance is an added advantage.
• Good understanding of the Companies Act, SEBI regulations, corporate filings, and listing requirements is preferred.

Responsibilities & Scope of Work

• Contract Management: Draft, review, negotiate, and manage vendor, NDA, service, employment, and commercial agreements.
• Regulatory Compliance: Ensure compliance with applicable laws, regulations, and industry standards, and monitor regulatory changes.
• IPO Readiness: Support legal due diligence, maintain IPO-ready corporate records, contracts, filings, and documentation, and coordinate with external legal advisors.
• Corporate Governance: Manage board/shareholder documentation, statutory records, corporate filings, and governance requirements.
• Risk Management: Identify legal and compliance risks and recommend appropriate mitigation measures.
• Dispute Resolution: Coordinate litigation, arbitration, disputes, and external legal counsel.
• Employment Law: Advise on employment contracts, labour laws, employee policies, and workplace compliance.
• Intellectual Property: Manage trademarks, copyrights, and other IP-related matters.
• Legal Advisory: Provide legal guidance on business decisions, policies, partnerships, and risk assessment.
