Contextual Overview

One Story is hiring a qualified Company Secretary for its M&A and Corporate Restructuring practice in the Mumbai Metropolitan Region. The role focuses on the end-to-end implementation of mergers, acquisitions, and corporate restructuring transactions, alongside regulatory research and advisory matters.

Key Eligibility Criteria

• Qualification: Qualified Company Secretary (CS).
• Experience: 1 to 3 years of relevant experience in M&A, corporate restructuring, NCLT matters, or transaction implementation.
• Skills: Strong drafting, coordination, and research skills with a solid understanding of the Companies Act, FEMA, and corporate compliance.

Responsibilities & Scope of Work

• Draft NCLT schemes, applications, petitions, affidavits, notices, and other transaction-related documents.
• Manage NCLT filings, hearings, follow-ups, and post-approval compliances.
• Support transactions including fund raising, buybacks, capital reduction, share transfers, and share allotments.
• Coordinate with clients, valuers, auditors, legal advisors, and other stakeholders for transaction execution.
• Manage transaction timelines, documentation, ROC filings, and Companies Act compliances.
• Conduct regulatory research on the Companies Act, FEMA, and taxation aspects relevant to M&A.

Stipend, Compensation & Mode

Base Pay Range: ₹1,250,000 to ₹1,300,000 per year (Full-time, Paid)
