One Story is hiring a Senior Associate - Merger & Acquisition for a full-time role based in Bengaluru, Karnataka, India. The position focuses on client delivery in M&A, transaction tax advisory, corporate restructuring, and regulatory compliance.

Key Eligibility Criteria

• Demonstrated experience in M&A, transaction tax, or corporate tax advisory.
• Sufficient working knowledge of Company Law, SEBI regulations, FEMA, and other relevant corporate laws.
• Strong understanding of business, economic, and regulatory developments relevant to clients.

Responsibilities & Scope of Work

• Client Delivery: Draft and review client deliverables including reports, proposals, advice, opinions, and presentations; evaluate restructuring options based on commercial objectives.
• Fiscal & Regulatory Review: Conduct detailed fiscal and regulatory reviews involving direct tax, company law, SEBI, FEMA, stamp duty, and accounting implications.
• Transaction Documentation: Review transaction documents such as business transfer agreements, share purchase agreements, subscription agreements, trust deeds, and asset sale/purchase agreements.
• Scheme Implementation: Implement schemes of arrangement (mergers, demergers, capital reductions) including drafting schemes, petitions, notices, and attending NCLT hearings.
• Due Diligence & Corporate Actions: Undertake buy-side and sell-side tax due diligence and draft documents for corporate actions including securities issuance and buybacks.
• Business Development & Research: Support client pitching, prepare proposals, identify business acquisition areas, and execute exhaustive research aligned with client expectations.

Stipend, Compensation & Mode

• Compensation: ₹1,700,000 to ₹1,800,000 per year (Base pay range provided by One Story, based on skills and experience).
• Mode: Full-time, On-site in Bengaluru.
