Venture Capital Careers is seeking a Manager - Legal & Compliance based in the Mumbai Metropolitan Region. This role focuses on fund compliance, investment documentation, and transaction due diligence within the venture capital and private equity sector.

Key Eligibility Criteria

• Experience: 5–8 years in legal, compliance, secretarial, transaction, or investment-related roles.
• Sector Expertise: Proven experience with VC/PE funds, AIFs, investment transactions, or financial services.
• Skills: Proficiency in drafting/negotiating investment documents (Term Sheets, SSA, SHA/SSHA) and conducting legal/secretarial due diligence.

Responsibilities & Scope of Work

• Fund Compliance: Monitoring compliance calendars, filings, and ensuring adherence to SEBI/AIF regulations.
• Investment Documentation: Drafting and negotiating definitive agreements and maintaining the investment documentation repository.
• Due Diligence: Coordinating and conducting legal and corporate due diligence on prospective investments.
• Transaction Support: Assisting the investment team through execution, closing, and post-closing requirements.
• Governance: Supporting secretarial requirements and maintaining statutory/governance records.
