Welspun One is seeking a seasoned professional for the role of Head - Company Secretary based in Mumbai. This position focuses on corporate governance, AIF fund compliance, and legal oversight within the real estate and infrastructure investment sectors.
Key Eligibility Criteria
- Proven experience working with real estate developers.
- Strong background in AIF fund compliance, corporate law, and governance.
- Experience managing multi-entity structuring in real estate, private equity, or infrastructure environments.
- Expertise in drafting legal documents and overseeing regulatory submissions.
Responsibilities & Scope of Work
- Governance & Board Support: Manage Board and Investment Committee meetings; maintain statutory records and MCA/ROC filings.
- Regulatory Compliance: Ensure end-to-end compliance with SEBI (AIF/Companies/LLP) regulations and coordinate with regulatory authorities.
- Legal Oversight: Draft and vet legal documentation (shareholder agreements, contribution agreements) and support due diligence for acquisitions and exits.
- Investor Communication: Oversee investor reporting, KYC/AML/FATCA compliance, and routine disclosures.
- Audit & Risk: Coordinate internal and regulatory audits; maintain governance policies including Insider Trading and ESG protocols.
