Located in Chennai, Tamil Nadu, this full-time, on-site role is an exceptional opportunity for legal and secretarial professionals to manage corporate governance and commercial legal operations for a multinational pioneer in autonomous and smart mobility solutions.

Role and Key Responsibilities

The selected candidate will report directly to the Legal Director, India, and will handle a dual portfolio encompassing both secretarial compliance and commercial legal functions:

1. Secretarial and Corporate Governance Functions

  • Conducting Board Meetings, Annual General Meetings (AGMs), and Extraordinary General Meetings (EGMs).
  • Drafting and vetting agendas, minutes, annual reports, directors' reports, and related corporate documentation.
  • Filing statutory forms, returns, and regulatory documents with the Registrar of Companies (ROC).
  • Maintaining statutory registers, secretarial records, and corporate books.
  • Advising management on compliance requirements under the Companies Act, 2013, and overseeing statutory compliances as Key Managerial Personnel (KMP).

2. Legal and Commercial Functions

  • Providing strategic legal advice to the India Legal Director and the APAC Legal Team.
  • Negotiating, drafting, reviewing, and vetting commercial agreements and transactions.
  • Supporting joint ventures, mergers and acquisitions (M&A), and licensing agreements.
  • Advising internal departments, including Human Resources and Finance, on legal matters.
  • Conducting compliance reviews, internal investigations, and delivering legal training to employees.

Eligibility Criteria

Candidates applying for this position must meet the following requirements:

  • Professional Qualification: Must hold an Associate Company Secretary (ACS) qualification.
  • Experience: 5 to 7 years of post-qualification experience in secretarial compliance, corporate governance, and commercial legal matters.
  • Education: A law degree from a recognized institution in India is highly advantageous.
  • Preferred Background: Prior experience in a law firm or an in-house legal department of a multinational company is preferred. Familiarity with the automotive industry and exposure to Intellectual Property (IP) matters will be considered a strong advantage.
  • Skills: Excellent English communication, strong legal drafting, and robust stakeholder management skills.
