Contextual Overview

Airbus Atlantic, a global industrial leader in aerostructures, pilot seats, and business/first-class passenger seats, is seeking a Senior Legal Counsel to join its team in Toulouse, France. This permanent, full-time role involves providing strategic legal advice and managing litigation within an international environment, directly reporting to the Legal and Compliance Director.

Key Eligibility Criteria

• Minimum 8 years of confirmed experience in a similar role within an international environment.
• Solid mastery of French business law, with proven practice in contract law, commercial law, and collective insolvency procedures management.
• Fluent in both written and spoken French and English, comfortable evolving in a multicultural context.
• Possess a synthetic mind, clarity, pedagogical skills, diplomacy with executive management, and assertiveness to defend company interests.

Responsibilities & Scope of Work

• Strategic Legal Advice: Provide proactive legal counsel to Sales, Procurement, Programs, Engineering, R&D, and IT teams for daily operations and contractual projects (agreements, R&D contracts, purchase contracts, sales contracts) in a demanding international environment.
• Training: Design and lead legal training modules for operational teams to develop risk culture and disseminate good contractual practices.
• Litigation & Pre-litigation Management:
  • Analyze grievances, evaluate legal and financial risks, draft formal notices or responses, and negotiate settlement agreements for amicable resolutions.
  • Define defense or prosecution strategies, compile evidence files with operational teams, validate conclusions, and monitor proceedings before commercial and civil courts.
  • Manage collective insolvency procedures, ensuring the safeguarding of company interests (declarations of claims, property claims, monitoring of safeguard, recovery, or liquidation procedures) in liaison with judicial representatives.
• Corporate Legal Activities:
  • Organize Board of Directors and General Assembly meetings, draft minutes, maintain legal registers, and ensure compliance with annual obligations (e.g., approval of accounts) for Airbus Atlantic and its subsidiaries (Morocco, Tunisia, Portugal, Canada), including coordinating and managing local external law firms.
  • Provide legal support for statutory amendments, intra-group restructurings (mergers, creation/liquidation of subsidiaries, TUP), and capital operations.
  • Map, draft, implement, and update the chain of delegations of powers, responsibilities, and signatures to secure the company's and its executives' commitments.
