D3 Search is actively recruiting a Healthcare Transactions Associate Attorney on behalf of a prominent, well-established full-service law practice located in Sacramento, CA. The role sits within the firm's Healthcare Practice Group, advising regional hospital systems, medical foundations, healthcare management companies, and other healthcare organizations on complex regulatory, operational, and transactional matters.

Key Eligibility Criteria

• Degree: Juris Doctor (J.D.) from an accredited law school.
• Bar Admission: Active membership in good standing with the California State Bar.
• Experience: 1–4 years of experience in a healthcare regulatory or corporate transactional practice.
• Preferred Knowledge: Familiarity with provider licensing, enrollment, reimbursement, fraud and abuse, Stark Law, Anti-Kickback Statute, HIPAA, or general healthcare compliance.

Responsibilities & Scope of Work

• Advise healthcare providers on federal and California healthcare laws, regulations, and compliance matters.
• Conduct legal research, draft memoranda, and prepare practical legal analyses on complex regulatory issues.
• Assist with healthcare mergers, acquisitions, restructurings, and strategic transactions, including regulatory due diligence and CHOW matters.
• Draft, review, and negotiate commercial contracts, management services agreements, professional services agreements, and physician employment contracts.
• Advise clients on corporate governance, entity formation, and day-to-day operational matters.
• Contribute to business development initiatives, client alerts, and practice group presentations.

Stipend, Compensation & Mode

• Compensation: $160,000 to $190,000 annual salary (dependent on qualifications), plus competitive bonuses, robust benefits package, 401(k), and paid onsite parking.
• Mode: Full-time, direct-hire with a flex hybrid 3/2 work model.
