Contextual Overview

De Smet Engineers & Contractors (DSEC), an international engineering and EPC contracting firm headquartered in Belgium, is seeking a full-time Legal Counsel to join its legal team in Louvain-la-Neuve, Walloon Region, Belgium. The role directly supports the General Counsel and cross-functional business teams operating across multiple jurisdictions, including Belgium, France, and India, focusing on commercial contracting, corporate governance, compliance, and dispute resolution.

Key Eligibility Criteria

• Qualification: Master’s degree in Law (or equivalent).
• Experience: Minimum 3 years of professional experience in a law firm and/or in-house legal department.
• Core Subject Knowledge: Strong background in corporate law, corporate governance, and commercial contracts.
• Language Proficiency: Fluency in English and French is required.
• Sector Experience (Preferred): Prior experience in engineering, construction, or industrial sectors, as well as exposure to multi-jurisdictional legal operations.

Responsibilities & Scope of Work

• Draft, review, and negotiate EPC agreements, engineering service contracts, purchasing agreements, NDAs, technology licenses, and subcontractor agreements.
• Provide pragmatic, risk-focused legal advice to internal departments, including procurement, operations, finance, sales, and HR.
• Support company secretarial and corporate governance matters across international subsidiaries, managing board documentation and regulatory filings.
• Assist in managing pre-litigation claims, contractual disputes, and coordinate with external legal counsel on litigation/arbitration.
• Develop and maintain standardized contract templates, contracting guidelines, and lead internal legal awareness training.
