Legal Counsel

Contextual Overview

Diversified, a global leader in audiovisual and media technology, is seeking a Legal Counsel to join their team. This is a remote, U.S.-based position reporting directly to the General Counsel, focusing primarily on commercial transactions and strategic legal advisory for sales, operations, and procurement teams.

Key Eligibility Criteria

• Education: Juris Doctor (J.D.) from an accredited law school.
• Licensure: Active license to practice law and member in good standing with at least one U.S. state bar.
• Experience: Minimum of 5 years of legal experience in a law firm or corporate environment, with a specific focus on commercial transactions.
• Skills: Proficiency in intellectual property, data protection, and privacy laws; strong drafting and negotiation capabilities.

Responsibilities & Scope of Work

• Draft, review, and negotiate commercial agreements (customer, vendor, NDA, consulting).
• Advise leadership on operational, compliance, and corporate governance matters.
• Manage litigation, claims, and disputes in coordination with outside counsel.
• Support M&A activities, internal investigations, and corporate policy development.
• Provide legal training to associates and monitor regulatory changes.
