EFG Holding is inviting applications for the senior executive position of Legal Director – GCC and Frontier Markets based in Dubai, United Arab Emirates. Working closely alongside the Group Chief Legal Officer, the successful candidate will oversee legal matters across all business divisions of the investment bank within the GCC and Frontier Markets, including Investment Banking, Private Equity, Brokerage, and Asset Management.
Key Eligibility Criteria
- Education: Bachelor’s degree in Law (LL.B. or equivalent).
- Professional Qualification: Qualified to practice law in the United Kingdom (UK) and/or the United States (US).
- Experience: Minimum of 12 years post-qualification experience (PQE) within a top-tier international law firm. Must demonstrate substantial expertise in both Mergers & Acquisitions (M&A) and Capital Markets transactions.
- Key Competencies: Exceptional legal drafting, negotiation, presentation, and English communication skills; ability to make timely decisions, evaluate risk factors, and manage complex transactions under minimal supervision.
Responsibilities & Scope of Work
- Collaborate with the Group Chief Legal Officer to handle transactional and operational requirements across Investment Banking, Private Equity, Brokerage, and Asset Management lines.
- Draft, review, and negotiate Equity and Debt Capital Markets documentation (including IPOs and private placements), such as engagement letters, underwriting agreements, share purchase agreements, offering circulars, comfort letters, and legal opinions.
- Structure, draft, and negotiate corporate and banking agreements, including SPAs, confidentiality agreements, mandate letters, escrow terms, account opening documentation, and custody terms.
- Instruct and manage external legal counsel across applicable jurisdictions.
- Maintain group entity legal databases and internal precedent libraries.
- Ensure full compliance with applicable Anti-Money Laundering (AML) and Counter-Terrorist Financing (CTF) regulations and sanction inquiries.
