This is a senior in-house legal role focused on commercial contracting for SaaS services, supporting the Americas Sales and Customer Success teams. Key Eligibility Criteria
- J.D. or LL.B. from an accredited law school
- Active membership in good standing of a U.S. state bar; New York admission preferred (or eligibility to register as in-house counsel in New York)
- 8+ years of experience at a top-tier law firm and/or in-house at a technology company
- Demonstrated experience negotiating complex software or SaaS transactions
- Background in financial services, fintech, blockchain, cybersecurity, or crypto (preferred)
- Proficiency in managing competing priorities in a high-pressure environment
- Experience using AI tools to create efficiencies within legal workstreams
- Strong cross-functional collaboration and communication skills
Responsibilities & Scope of Work
- Draft and negotiate large commercial contracts including MSAs, SaaS agreements, SOWs, and NDAs with global financial institutions
- Own the full review cycle from drafting and negotiation through closure
- Structure and negotiate risk allocation and regulatory compliance provisions tailored to each transaction
- Use AI tools to streamline complex reviews; refine legal templates and processes
- Create sales training and enablement materials
- Identify potential risks and recommend mitigants for escalation to senior leadership
- Partner with procurement on high-risk vendor contract reviews
- Support due diligence processes involving material commercial contracts
- Advise stakeholders on legal risks, business strategies, and regulatory issues related to commercial transactions
Compensation & Benefits
- Base Salary: USD $195,000 – $240,000 per annum (actual offer dependent on individual case)
- May include a target bonus, competitive equity grant, and generous benefits package
- Work Model: Hybrid – 3 days per week in office (New York)
