ib vogt, a global leader in utility-scale renewable energy development, is seeking a Senior Legal Counsel to join their legal team at their Berlin headquarters. This role focuses on complex corporate governance, cross-border M&A transactions, joint ventures, and group financing matters within the renewable energy sector.

Key Eligibility Criteria

• Qualification: Fully qualified lawyer admitted in Germany (Volljurist/in) or equivalent international qualification (e.g., Solicitor, Attorney-at-Law).
• Experience: 6+ years of relevant professional experience, ideally in an international law firm or in-house legal department.
• Expertise: Proven track record in cross-border M&A, joint venture structures, and group financing.
• Languages: Fluent business English and German language skills are required.

Responsibilities & Scope of Work

• Lead legal aspects of transaction structuring, including tax, accounting, and EU financial regulatory considerations.
• Draft and negotiate complex transaction documentation, loan agreements, and credit facilities.
• Advise on corporate governance, liability management, and compliance with joint venture agreements.
• Manage external legal counsel and provide guidance to junior legal team members.
• Support corporate measures such as capital increases and shareholder loans.
