Senior In-House Legal Counsel

JobAlly is conducting a confidential search for a fast-growing international business seeking a commercially minded Senior In-House Legal Counsel based in Singapore. The role offers a broad, high-autonomy mandate working closely with senior management on strategic and day-to-day corporate and commercial matters, with a strong focus on commodities, energy, and cross-border transactions.

Key Eligibility Criteria

• Qualified lawyer with a minimum of 3+ years of Post-Qualification Experience (PQE).
• Strong experience in corporate/M&A and commercial transactions.
• Singapore qualification/admission or relevant legal credentials aligned with the role.
• Preferred exposure to commodities, physical trading, energy, biofuels, recycling, waste management, or sustainability-related industries.
• Advantageous background in fundraising, banking & finance, capital markets/IPO, or commercial arbitration.

Responsibilities & Scope of Work

• Provide practical and commercially focused legal advice to senior management and business teams.
• Draft, review, and negotiate commercial agreements including supply, offtake, distribution, logistics, and services agreements.
• Support M&A, investments, corporate transactions, joint ventures, and restructuring.
• Advise on banking, financing, facility agreements, trade finance, and capital markets/IPO-related matters.
• Manage disputes, arbitration, litigation matters, and coordinate with external counsel.
• Advise on corporate governance, regulatory compliance, sanctions, and legal risk management.
