Lummus Technology is seeking applications for the position of Senior Counsel based in Brno, Czech Republic. This in-house legal role focuses on technology licensing, intellectual property (IP) transactions, joint development agreements, and strategic M&A activities. The candidate will work in an intellectually stimulating global environment, collaborating with business teams and United States-based management.

Key Eligibility Criteria

Education: Law degree from an accredited law school.
Experience: 8+ years of relevant legal experience, primarily in technology licensing and IP transactions.
Domain Expertise: Strong understanding of IP law, experience with IP aspects of M&A transactions, asset purchase agreements, and joint development agreements.
Languages & Tools: Fluent English-language skills (all negotiations and work products are in English) and proficiency in Microsoft Office Suite and standard corporate software tools.

Responsibilities & Scope of Work

Draft and negotiate joint development agreements, commercial cooperation agreements, and strategic technology transactions.
Draft and negotiate asset purchase agreements and other M&A contracts as required.
Review and advise on investment-related agreements, including stock purchase, voting, and investor rights agreements.
Develop frameworks for IP ownership, IP grants, risk mitigation, and governance for strategic transactions.
Conduct legal due diligence focused on IP and commercial risk.
Manage external legal counsel effectively when required.
