Contextual Overview

Nomura is inviting applications for the position of Loans Legal Counsel (Vice President) within its Legal department based in Singapore. The role involves providing mid-level legal support (minimum 4 years PQE) to the Securitized Products and Private Credit (SPPC), Acquisition & Leveraged Finance (ALF), and Equity Solutions teams across Asia ex Japan, focusing extensively on loan transactions.

Key Eligibility Criteria

• Minimum 4 years of Post Qualification Experience (PQE).
• Transactional experience in lending transactions such as private credit, acquisition financing, margin financing, Pre-IPO financing, warehouse financing, receivables financing, real estate financing, structured lending, loan trading, and cross-border transactions.
• Demonstrated expertise in bilateral and syndicated lending documentation, including APLMA and LMA formats.
• Strong contract review, drafting, and communication skills.
• Ability to work both independently and collaboratively in a dynamic team environment.

Responsibilities & Scope of Work

• Provide comprehensive legal, regulatory, and reputational risk support for the SPPC, ALF, and EQS businesses.
• Analyze complex legal issues and structure transactions or draft documentation to mitigate risks.
• Draft, review, and negotiate a diverse range of legal documentation for the origination, closing, and sell-down of financial risk.
• Escalate critical legal and regulatory risks to senior management and participate in internal committees for new products and structures.
• Supervise and manage external legal counsel to maintain quality and cost efficiency.
