Contextual Overview

Orbem, a deep-tech company specializing in AI-powered MRI technology for biological matter, is seeking a Legal Counsel (f/m/d) based in Munich. This is a foundational, individual contributor role at the Principal level, reporting to the COO, tasked with building the company's legal and compliance function from the ground up to support global scaling.

Key Eligibility Criteria

• Qualified German lawyer (Volljurist or Wirtschaftsjurist or equivalent).
• Proven in-house experience within a fast-paced, high-growth environment.
• Strong foundation in German corporate and commercial contract law, specifically regarding B2B operations.
• Demonstrated experience in building legal/compliance processes and frameworks from scratch.

Responsibilities & Scope of Work

• Legal & Commercial (40%): Draft and negotiate commercial contracts (hardware, software/AI licensing, service agreements) and manage corporate governance and employee equity programs.
• Compliance Building (40%): Establish an integrated cross-functional compliance function covering IP, InfoSec, and product regulation (e.g., EU AI Act, Cyber Resilience Act).
• External Management (20%): Manage external legal counsel and act as the central hub for legal strategy across the organization.
