Overview
Orion Placement is recruiting for a Franchise & Corporate Associate Attorney on behalf of a sophisticated boutique business law practice. The role involves advising established and growing companies on franchise, corporate, transactional, licensing, regulatory, and commercial matters. The position offers significant client contact, independent project management, and the opportunity to develop specialized franchise expertise without prior franchise law experience.
Key Eligibility Criteria
- Experience: 2+ years of relevant attorney experience.
- Practice Areas: General corporate law, licensing and transactional law, franchise law, or commercial litigation.
- Skills: Strong commercial contract drafting, independent project management, legal research (Westlaw), and written communication.
- Preference: Prior franchise law experience is preferred but not required.
Responsibilities & Scope of Work
- Advise businesses on corporate, commercial, transactional, licensing, and franchise-related legal matters.
- Draft, review, analyze, and negotiate commercial contracts, license agreements, and franchise agreements.
- Assist with the development and operation of franchise systems and related regulatory requirements.
- Prepare and review franchise disclosure and other regulatory documents.
- Support corporate transactions, private equity matters, M&A, and licensing programs.
- Conduct legal research using Westlaw and prepare clear, practical legal analysis.
- Independently manage projects, priorities, deadlines, and client matters.
