Corporate Legal Manager

Contextual Overview

Propelld is urgently seeking to onboard a skilled Corporate Legal Manager in Bengaluru, Karnataka, to handle core lending operations, financial structuring, drafting, and negotiation of lending agreements in alignment with business and regulatory requirements.

Key Eligibility Criteria

• Minimum 3+ years of relevant experience in the lending or financial services space.
• Strong legal knowledge and prior exposure in co-lending structures, PTC (Pass-Through Certificates) / DA (Direct Assignment) documentation, and debt/borrowing transactions.
• Prior work experience in a FinTech, NBFC, or Banking environment is highly preferred.
• Excellent drafting, negotiation, and communication skills.

Responsibilities & Scope of Work

• Draft, review, and negotiate legal documentation for co-lending transactions with Banks/NBFCs and securitisation transactions (PTC and DA).
• Handle debt instruments including Facility Agreements, Deeds of Hypothecation, Corporate Guarantees, and related security documents.
• Coordinate with internal stakeholders (credit, compliance, finance, business teams) to support business needs.
• Liaise with external counsels, lenders, and financial institutions for timely and compliant transaction execution.
• Ensure all documentation complies with applicable legal, regulatory, and RBI guidelines.
• Support due diligence, risk mitigation, and compliance checks related to lending activities.
