Reed Smith LLP – Technology Transactions Associate (Junior‑to‑Mid‑Level)

Reed Smith LLP is hiring a full‑time associate for its Technology Transactions group in Dallas, TX and Atlanta, GA. The role focuses on drafting, negotiating, and analyzing complex technology‑based commercial agreements and advising on IP and technology matters in corporate transactions.

Key Eligibility Criteria

• 2‑4 years of experience with corporate and commercial technology and intellectual property matters
• Active member of the bar in the state where the candidate resides

Responsibilities & Scope of Work

• Draft and analyze complex technology contracts (SaaS, software licenses, professional/master services, outsourcing, supply, distribution, reseller, manufacturing, and bespoke agreements)
• Negotiate and advise on technology‑based commercial transactions
• Evaluate IP and technology issues in M&A, carve‑out, spin‑off, and private equity deals
• Conduct due diligence on chain of title, inbound/outbound licenses, open‑source software, AI, and U.S. data processing matters
• Assist with transaction documents and related legal work

Stipend & Compensation

Salary range: $235,000 – $310,000 (paid). Benefits include 401(k), medical, dental, vision, various insurances, paid leave, and more.
