Legal Counsel & Company Secretary (12 months fixed term)

Stichting Sunrise International (TSPIntl) is seeking a Legal Counsel & Company Secretary for a 12-month fixed-term contract. This is a standalone, remote-friendly role supporting the organization's governance and operational setup as a Dutch Stichting, with a focus on climate-related advocacy and renewable energy transition.

Key Eligibility Criteria

• Proven experience in governance, commercial, and corporate law.
• Proficiency in contract drafting and negotiation.
• Prior experience in a charitable or not-for-profit legal environment is highly desirable.
• Ability to work independently and manage complex legal/operational issues in international settings.

Responsibilities & Scope of Work

• Governance: Act as Company Secretary by preparing board agendas, drafting resolutions, maintaining corporate records, and ensuring statutory compliance.
• Advisory: Provide high-quality legal advice to the Chair, Supervisory Board, and Management Board.
• Risk Management: Maintain and update the risk management framework and risk register.
• Operational Support: Support board recruitment, onboarding, and logistics; provide pragmatic legal support to program teams.

Stipend, Compensation & Mode

Salary: €87,232.00 – €109,040.00 per year (based on skills and experience).

Mode: 24 or 32 hours per week (flexible).
